30 juli 2012 Sword Group Disposal of CRM Activity Confirmed Luxemburg, 30 July 2012 On the 10th July, Sword Group announced the news of the disposal of its subsidiary Ciboodle Ltd, a company specialising in the development and sale of CRM software products. This disposal was dependent upon Kana Software Inc. (the acquirer) receiving appropriate financing authorisations for the transaction. Sword Group is pleased to confirm today that all financing has been confirmed and this disposal has been finalised. The net cash position of the group is now approximately €60m and the profit on disposal generated by this transaction is approximately €20m. The board of Sword Group will be declaring an exceptional dividend to its shareholders of €0.69 per share. The dividend will be paid at the start of September. As announced earlier this disposal completes the restructuring process and leaves Sword in a strong position focussing on a reduced number of core activities which generate strong levels of high value added recurring revenue, delivered either via Software Products, IT Services or Communication Technologies. Following the disposal of Ciboodle, Sword will look at how best to strategically grow the group both via acquisition and organic growth.
